These Terms and Conditions (“Terms”) govern all contracts for the provision of architectural design and construction services by Ten22 Architectural Design and Build Ltd (“we,” “us,” “our”) to our clients (“you,” “your”).

By accepting a quotation, signing a contract, or instructing us to proceed with works, you agree to be bound by these Terms.

1. Definitions

  • “Client” means the person, company, or organisation engaging our services.

  • “Services” means all architectural design, project management, and construction work carried out by us as agreed in writing.

  • “Contract” means the legally binding agreement between the parties, incorporating these Terms and any specific written agreement.

2. Scope of Work

We will carry out the work as detailed in our written quotation, proposal, or contract documents. Any changes to the scope must be agreed in writing and may incur additional costs and changes to the timeline.

3. Estimates and Quotes

  • All quotations are valid for 30 days unless otherwise stated.

  • Quotes are subject to revision if project requirements change, unforeseen site conditions arise, or material costs fluctuate significantly.

4. Payments

  • Payment terms will be outlined in the project agreement or invoice. Typically, payment is made in staged instalments based on project milestones or a schedule of works.

  • All invoices are payable within 14 days unless otherwise agreed.

  • Late payments may incur interest at 8% per annum above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Client Responsibilities

You agree to:

  • Provide clear instructions, access to the site, and necessary information in a timely manner

  • Obtain all necessary consents, permissions, and approvals unless otherwise agreed

  • Ensure the site is safe, free from hazards, and compliant with relevant health and safety requirements

6. Project Timescales

  • We will use reasonable efforts to meet estimated timescales, but these are not guaranteed unless explicitly agreed.

  • We are not liable for delays caused by events outside our control, including but not limited to adverse weather, material shortages, supplier delays, or force majeure.

7. Intellectual Property

  • We retain ownership of all drawings, designs, and plans produced by us unless otherwise agreed in writing.

  • You are granted a non-exclusive licence to use the documents for the intended project only, once full payment has been received.

8. Insurance and Liability

  • We carry appropriate public liability, employer’s liability, and professional indemnity insurance.

  • Our liability is limited to the value of the contract unless otherwise required by law.

  • We are not liable for indirect or consequential loss, loss of profits, or third-party claims.

9. Defects and Snagging

  • You must notify us of any defects or concerns in writing within 14 days of practical completion.

  • We will make reasonable efforts to remedy defects caused by our workmanship within a reasonable timeframe.

10. Termination

We may suspend or terminate the contract if:

  • You fail to make payment

  • You breach these Terms

  • The project becomes unfeasible due to unforeseen circumstances

You may terminate the contract with notice, subject to paying for all completed work, materials ordered, and any reasonable costs incurred up to that point.

11. Disputes and Complaints

We aim to resolve disputes amicably. In the event of a dispute:

  • You must notify us in writing as soon as possible

  • We will respond within 14 working days

  • If unresolved, either party may refer the matter to mediation or legal proceedings in the UK courts

12. Governing Law

These Terms and any disputes arising from them are governed by the laws of England and Wales, and subject to the exclusive jurisdiction of the English courts.

13. Amendments

We reserve the right to amend these Terms from time to time. Any changes will not affect contracts already in place unless mutually agreed.
